These Terms of Service (“Terms”)govern access to and use of the Persona Agentic AI platform, including AIagents, automations, integrations, messaging, telephony, and related services(collectively, the “Services”), provided by Persona Agentic AI, LLC (“Persona”).By accessing or using theServices, you (“User”) agree to these Terms.
Persona provides AI-poweredsoftware tools designed to automate tasks, conversations, scheduling, andintegrations with third-party platforms. The Services may involve artificialintelligence, machine learning, and automated decision-making.Persona does not providelegal, financial, medical, compliance, or professional advice.
User acknowledges and agrees that:
- AI-generated outputs may be inaccurate, incomplete, misleading, or inappropriate
- AI behavior may change over time and is not deterministic
- The Services may experience downtime, latency, errors, or interruptions
- Outputs must be reviewed before being relied upon or acted upon
User is solely responsible for all decisions, actions, communications, and outcomes resulting from use of the Services.
User is solely responsible for complying with all applicable laws, regulations, and industry rules, including but not limited to:
-TCPA, CAN-SPAM, GDPR, CCPA/CPRA, and other privacy laws
-Telephony, SMS, call recording, and consent requirements
-Sector-specific compliance obligations
Persona does not monitor or verify User compliance.
User retains ownership of data,prompts, scripts, and content provided to the Services but grants Persona alimited license to process such data solely to provide and improve theServices.User represents that it has all necessaryrights, permissions, and consents to use and process such data.Persona is not responsible for thecontent, accuracy, or legality of User-provided data.
The Services may integrate with third-party platforms (e.g., telephony providers, CRMs, calendars)
Persona:
-Does not control third-party services
-Is not responsible for outages, changes, or failures of third-party platforms
-Disclaims liability arising from third-party services or integrations
Use of third-party services is subject to their own terms.
THE SERVICES ARE PROVIDED “ASIS” AND “AS AVAILABLE.”
PERSONA DISCLAIMS ALL WARRANTIES,EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR APARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.
Persona does not guarantee uptime,accuracy, performance, or specific results.
To the maximum extent permitted bylaw:
-Persona shall not be liable for indirect, incidental, consequential, special, or punitive damages
-Persona shall not be liable for lost revenue, lost profits, or business interruption
-Persona’s total liability shall not exceed the fees paid for the Services in the preceding three (3) months
User agrees to defend, indemnify, and hold harmless Persona, its members, officers, employees, and affiliates from any claims, damages, losses, liabilities, and expenses (including attorneys’ fees) arising from:
-User’s use of the Services
-AI outputs or reliance on such outputs
-User data, content, or communications
-Violations of law or third-party rights
Persona may suspend or terminateaccess to the Services at any time, with or without notice, for any reason.Upon termination, User must cease use of theServices.
Any dispute arising out of or relating to these Terms shall be resolved exclusively by binding arbitration, administered by the American Arbitration Association (AAA), Marin County, California.
-No class or representative actions
-One arbitrator
-Each party bears its own legal costs unless otherwise awarded
These Terms are governed by the laws of the State of California.
Persona may update these Termsfrom time to time. Continued use of the Services constitutes acceptance ofupdated Terms.
These Terms constitute the entire agreement regarding use of the Services and supersede all prior understandings.
